Terms of Service

By signing in to or otherwise using ZRM, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not access or use the service.

ZRM is an internal operational layer that sits on top of BytePro, the loan origination system that remains the system of record. ZRM provides authorized operators with a clean working surface for applications, contacts, lead intake, sync health, and mapping review. ZRM reads from BytePro and does not replace it.

ZRM is an internal business tool intended solely for authorized operators. It is not intended for, and is not made available to, the general public or to loan applicants and borrowers directly.

Access to ZRM is limited to authorized GSM Mortgage personnel (such as loan officers, processors, and administrators) and approved external partners provisioned by an administrator. Accounts are created and managed by ZRM administrators; you may not share, transfer, or create accounts without authorization.

You sign in with a username or email and password, and certain privileged roles must enroll in authenticator-app multi-factor authentication. You are responsible for keeping your credentials confidential, for all activity that occurs under your account, and for promptly notifying an administrator of any suspected unauthorized access.

You agree not to:

• Use ZRM for any unlawful purpose or in violation of these Terms.
• Access, or attempt to access, data or features you are not authorized to use, or otherwise circumvent the role-based access controls in the service.
• Export, scrape, or extract data through automated means except as expressly permitted for your role.
• Interfere with, probe, or attempt to defeat the security, integrity, or availability of the service or its underlying systems.

Communications compliance. Where ZRM is used to originate or facilitate communications with consumers, prospects, or borrowers (for example, lead notifications or SMS messaging), you must comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, applicable A2P 10DLC messaging requirements, and all consent and opt-out obligations.

ZRM processes nonpublic personal information about loan applicants and contacts. You agree to access and use that information only for legitimate business purposes consistent with your role, and to handle it in accordance with the Gramm-Leach-Bliley Act (GLBA), applicable federal and state privacy and fair-lending laws, and GSM Mortgage’s own policies.

BytePro is and remains the system of record for loan data and is governed by its own agreements; ZRM reads from BytePro in a read-only capacity and does not write loan status, documents, or service orders back to it. Certain features (for example, voice and SMS messaging, where offered) may be provided through third parties such as Twilio and are subject to those providers’ terms. Zupral is not responsible for the acts, omissions, delivery failures, or charges of third-party providers.

ZRM and all of its components — including software, design, and content provided by Zupral — are owned by Zupral or its licensors and are protected by intellectual property laws. Subject to these Terms, you receive a limited, non-exclusive, non-transferable, revocable right to use ZRM for authorized business purposes only. No other rights are granted.

Our collection and use of information in connection with ZRM is described in our Privacy Policy, which is incorporated into these Terms by reference.

ZRM is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that data shown in ZRM is complete or current relative to BytePro at any given moment.

To the maximum extent permitted by law, Zupral will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the service will not exceed one hundred U.S. dollars ($100) or the amount you paid us, if any, for use of the service in the twelve months preceding the claim, whichever is greater.

You agree to defend, indemnify, and hold harmless Zupral and its affiliates from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to your use of the service or your violation of these Terms or applicable law.

Your access to ZRM is tied to your authorization status and may be suspended or terminated at any time, with or without cause or notice, including when your relationship with GSM Mortgage or your authorization to use the service ends. Upon termination, your right to use the service ceases immediately.

These Terms are governed by the laws of the State of [State], without regard to its conflict of laws principles. The exclusive venue for any dispute will be the state and federal courts located in that state.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of ZRM after changes take effect constitutes acceptance of the revised Terms.
